What is a Section 8 Company?

A Section 8 Company is a not-for-profit organization registered under the Companies Act, 2013 to promote charity, education, social welfare, art, science, or any other non-profit objective.

Who Can Register?

  1. Minimum 2 members (Private) or 7 members (Public).
  2. No minimum capital requirement.
  3. Profits must be reinvested into the objectives (no dividends).

Why It Matters

  1. High credibility compared to Trusts/Societies.

  2. Eligible for CSR funds, government grants, tax exemptions.

  3. Preferred structure for NGOs and non-profits with national/international donors.

Process of Registration

  1. Obtain DSC & DIN for directors.

  2. File SPICe+ form with MCA, attaching MOA & AOA.

  3. Apply for Section 8 license from Regional Director (RD).

  4. Get Certificate of Incorporation.

  • Revocation of Section 8 license.
